(“us”, “we”, or “our”) and before ordering and/or purchasing any credential evaluation or document translation services from us (the “Services”). These Terms apply to all visitors, users and others who wish to access or use our Sites or order our Services. Your access to and use of the Sites or Services is conditioned upon your acceptance of and compliance with these Terms. By accessing or using the Sites or ordering our Services you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access the Sites or order our Services from us.

We guarantee your order will be accepted for work, immigration or continuing education purposes. If it’s not, simply email the reason to support@validential.com within 90 days of order completion and we’ll refund your order (excluding expended rush, additional copies or mailing fees).
Delivery Times
We advertise one day turnaround availability (this applies to Rush orders), however, standard delivery times are typically 1-3 business days for translation orders and 3-5 business days for credential evaluation orders. Delivery times are not guaranteed and are dependent upon order flow at that time. If your documents provided to us for evaluation are not in English, we will require them to be translated first. Order delivery times are additive based on your order. For example, an order with translation plus evaluation plus mailing may take up to ten business days to reach you.
Shipping times are an estimated 3-5 business days within the US (standard mailing) and 8-10 business days to Canada (standard mailing). We are not responsible for carrier delays or carrier non-delivery or returned mail. Delivery times for rush, overnight shipping or large orders vary, and will be specified for you prior to payment. If you have a deadline, please advise us prior to ordering so that we can recommend options to meet your delivery requirements.
We require you to respond to the emailed document draft/s we send to you (“Draft”) prior to finalizing your Services order. We’re not responsible for delays due to emails being routed to your spam folder. If you do not respond to our Draft within five business days of being sent (according to our system logs), then you hereby agree that our Services were delivered timely and that you have accepted our Draft ‘as is’. We understand that unforeseen delays occur, and we will gladly make any needed edits to your Draft within 30 calendar days of emailing the original Draft to you.
Late Changes & Re-mailing
Changes requested after final documents have been emailed and/or mailed will be charged at the rate of $25 per edited document. Re-mailed documents will be charged at the applicable mailing rate listed on our Sites.
Chargeback Agreement
Unnecessary chargebacks harm us. You agree not to chargeback your credit card for charges we make for our Services until you have first requested a refund from and you have given us at least three full business days (in the State of California) to process your requested refund. You will be emailed once a refund request has been received and again when it has been processed.
Services
If you wish to order any Services made available via our Sites, you may be asked to supply certain information relevant to that order, including, without limitation, your credit card number, your billing address, the documents you need our Services applied to and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card/s or other payment method/s in connection with any order; and that (ii) the information and documentation you supply to us is true, correct and complete in all respects. We may employ the use of third-party services for the purpose of facilitating payment and the completion of Services. By submitting your information, you grant us the right to provide the information to these third-parties subject to our Privacy Policy. We reserve the right to refuse or cancel your order at any time and for any reason, including but not limited to: service availability, errors in the description or price of the Service, errors in your order, illegible documentation, suspected payment or document fraud, or suspected unauthorized or illegal transactions.
Intellectual Property
The Sites and original content, features and functionality are and will remain our exclusive property. The Sites are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Right to Use Written Feedback
We value your feedback. By providing us with written correspondence, you consent to our use of that content or excerpts thereof – along with the use of your first name, your last initial and the date of your correspondence – on our website and/or in our advertising materials. You may revoke this right at any time by advising us in writing to support@validential.com.

Our Sites may contain links to third party web sites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection, with the use of or reliance on any such content, goods or services available on or through any such third-party web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Indemnification
You agree to defend, indemnify and hold harmless Validential Corp. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees), resulting from or arising out of a) your use and access of the Sites, b) your use and/or purchase of our Services, or c) a breach of these Terms.
Limitation of Liability
In no event shall we, nor our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use of the Site or our Services; (ii) any conduct or content of any third-party on the Site; (iii) any content obtained from the Site or our Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Notwithstanding any provision to the contrary, the total liability of Validential Corp. and its employees and consultants, for all losses, damages, costs, and expenses, including attorneys’ fees, shall not exceed the aggregate amount paid to us for Services under this Agreement, regardless of the legal theory under which such liability is imposed.
Disclaimer
Except for our guarantees, our Sites and Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Your use of our Sites or Services is at your sole risk. The Sites or Services are provided on an “as is” and “as available” basis. We, our subsidiaries, affiliates, and licensors do not warrant that a) the Site will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Site is free of viruses or other harmful components; or d) the results of using the Site or Services will meet your requirements.
Exclusions
Some jurisdictions do not allow excluding or limiting implied warranties or limiting liability for incidental or consequential damages, and some jurisdictions have special statutory consumer protection provisions which may supersede the foregoing disclaimers and limitations. These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site and Services, and supersede and replace any prior agreements we might have had between us regarding the Site and Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
